Use of VerifyPass
Terms & Conditions ("Agreement") apply to all engagement and interaction with use
of VerifyPass.com ("Platform"), whether a person interacting with the Platform ("User")
has opened a window from an affiliated website ("Partner"), or its home website.
Use of VerifyPass to redeem exclusive discounts, constitutes an Agreement between the User and VerifyPass ("Company"),
a California Limited Liability Company, to the below Terms & Conditions. Agreement applies to use of VerifyPass.com,
its Partners for purposes of identity validation ("Verification"), for purposes
of redeeming discount codes, coupon codes, or private/non-public web links ("Offers") as a result of their duly confirmed group status or relation ("Affiliation").
Agreement may be periodically updated, as determined by VerifyPass, and will be viewable at https://verifypass.com/terms-and-conditions.
Continued use of VerifyPass grants continued consent to its Agreement. It is the User's sole responsibility to regularly
review Agreement within the provided web link.
1. User Terms
VerifyPass will collect information from you ("Data") when you attempt to verify your Affiliation. When applying for verification in our service,
as appropriate, you will be asked to provide miscellaneous information, such as date of birth, which is used to make a determination as proof of your Affiliation.
At any time, you may decline to answer any asked information, exit the Verification Process, by closing your browser window or tab, and discontinue usage of VerifyPass.
VerifyPass does not release User Data, except when required by law. During the Verification Process, User Data may be retained
while the User completes the Verification Process. This data will remain retained until the User has completed the Verification Process. Upon
successful completion of the Verification Process, User Data collected in order to verify Affiliation will be deleted from VerifyPass database. While data is in the retained
state, it will not be used for direct profit or gain to VerifyPass. Data in the retained state may be used to provide customer support, to personalize
your experience, and to expedite Verification. At no point in time shall any User Data, except as outlined below, be shared with a third party
or vendor. VerifyPass does not profit from User Data, either by sale or release of Data, in exchange for any form, monetary or otherwise of, compensation by its Partners.
If the User chooses to begin the Verification Process by directly clicking Facebook or Google buttons, Data such as name and e-mail will be retrieved from
respective third party in order to create a User account with VerifyPass. No Data will be shared back to Google or Facebook, except to confirm the Login.

Any information VerifyPass collects from Users may be used in one of the following ways:
- To process verifications
- To personalize your experience (your information helps us to better respond to your individual needs)
- To improve our service (we continually strive to expedite verification)
- To improve customer service (your information helps us to more effectively respond to your support requests).
The email address you provide for verification processing, may be used to send you information and updates pertaining to your
verification. You will not receive additional e-mail regarding other sales or promotions.
At no time, may the User:
- Directly or indirectly claim to be someone other than themselves,
- Attempt to defraud or bypass VerifyPass Offer security,
- Directly or indirectly claim to be affiliated with stated Affiliation,
- Directly or indirectly attempt to login to VerifyPass for an account which is not personally their own,
- Attempt to modify, via programmed computer code or through the browser, any information displayed in the VerifyPass platform,
- Lie or mislead VerifyPass about affiliation with designated group
Violation of aforementioned guidelines will result in User liability for damages caused to its Partner, which may include
the monetary discrepancy of the Offer compared to regularly priced Offers, or possible legal action in cases of fraud.
After Verification, VerifyPass may, at its discretion and configuration, release an Offer to the User, via a private web link,
discount code, or coupon code. VerifyPass assumes no liability for the validity of stated Offer, even if the Offer details were
explicitly stated prior to User engaging in Verification. VerifyPass does not directly control or maintain individual Offers, but serves as an in between for
Users and Partners. VerifyPass is not liable for Offer details being incorrect, or failing to operate or apply as
stated anywhere on the VerifyPass website, Partner website, or independent third parties.
Users may delete their account within Account → Settings. Deleting a User account
removes all personal data from the VerifyPass platform (e-mail, name and verified Affiliation(s)).
2. Partner Terms
The Platform is provided to Partners via various channels, including its website and various e-commerce platform extensions,
plugins, apps and similar modifications. Scripts may be loaded into the Website, by direct action of the Partner, for the sole purpose
of triggering the Platform. Scripts are not used for any form of data collection, cookie retention, or tracking. Scripts are required
in order to initiate and manage the verification process.
VerifyPass provides its services to businesses who wish to offer exclusive discounts to groups designated by VerifyPass. The Partner
may select which User groups may receive their offers, but may not customize further within the User group.
The usage of VerifyPass by a Partner requires a monthly subscription. The minimum monthly subscription is set by VerifyPass, as are
the tiered system it operates. The tiered system functions in such a way that at the time of billing, a Partner is obligated to
pay the respective amount of its tier as designed in the pricing page of its website. The instance of a single billable verification
is defined as the occasion of a User 1. receiving a discount code, or 2. receiving a redirect link from the Platform.
VerifyPass pricing is designed so that every time a User wishes to receive a discount, a new billable verification is charged
to the Partner. Partners are expressly prohibited from attempting to bypass this billing model by way of tagging internal
customer accounts for the automatic application of discounts. Violation of this obligation may result in warnings and/or Partner
termination.
VerifyPass solely decides and delegates User eligibility for its Affiliation. In the event of disagreement which User affiliation
should be allowed to complete verification for Affiliation, judgment is solely that of VerifyPass. VerifyPass reserves the right to update,
modify and change its criteria for User Affiliation without notice to the Partner.
Platform is a "due diligence" identity verification service. VerifyPass will make its best effort to validate and verify
the Affiliation of Users applying for its discounts. It is objectively impossible to entirely prevent fraud, deception or
trickery via the Internet. In the event of fraud, the offending User shall be liable for damages. It is the sole responsibility of the Partner to perform all investigative
duties coinciding with the event of fraud. VerifyPass shall not, under any circumstances, be held monetarily or legally liable for fraud resulting
from violations of the User terms of its Platform.
After verification of a User, VerifyPass may generate or retrieve discount codes to the Partner platform. VerifyPass makes no assurances
this code operates as intended. It is the responsibility of the Partner to test and monitor usage of its platform to ensure the platform
is operating as expected.
Partner may send Users to the Platform for verification. VerifyPass owns all rights to the User and its data in accordance with data policies
outlined in the User Terms. VerifyPass is not obligated or required in any way to release the personal data of its Users to the Partner.
3. Cookie Disclosure
During and before the Verification Process, VerifyPass may use "Browser Cookies" to track your activity, specifically
with regards to the Verification Process. At no time will Cookies be used for the purposes of Data collection, marketing,
or Revenue, with exception to Revenue collected from its Partners for use of the Verification Process. Cookies may store
a variety of information, such as but not limited to, encrypted user token for purposes of authentication or Offers viewed.
The use of cookies is a common practice, required to maintain login to most popular websites. Allowance of cookies is required
in order to use all parts of VerifyPass.
4. Payment & Fees
VerifyPass does not charge fees to its Users for usage of the Verification Platform. Fees are paid
by Partners, either directly or indirectly, in exchange for its Users to access to the VerifyPass Verification
service, in order to redeem an Offer.
5. Age Requirement
VerifyPass is primarily designed for legal adults over the age of 18. In some cases, children of eligible
parents may wish to redeem Offers on their behalf. This is permissible by VerifyPass, provided the User
is over the age of 13. Children under the age of 13 are not permitted to use VerifyPass under any circumstances.
VerifyPass does not market products or services to minors under the age of 18.
6. Indemnification & Disputes
Users and Partners, by usage of VerifyPass, consent to this Agreement, and shall indemnify, defend, protect, hold harmless, and
release the other, VerifyPass officers, agents, and employees, from and against any and all claims, loss, proceedings, damages,
causes of action, liability, costs, or expense, including attorneys’ fees and witness fees, arising from, or in connection
with, or caused by, any act, failure to act, or negligence of such indemnifying party, to the extent limited in
accordance with the laws of the state of California. This indemnification shall
not be limited in any way, by any limitation on the amount or type of damages or compensation payable to, or for,
the indemnifying party under workers’ compensation, disability benefits, or other employee benefit acts. By usage
of the Platform, User and Partners agree to hold VerifyPass harmless for any legal monetary claims, including but not
limited to damages which result to hardware or software, associated legal fees, or dishonest use of the Verification Platform, as outlined in Section 1.
If a dispute should arise between VerifyPass and its User or Partner, all claims shall be resolving by binding arbitration.
Neither User nor Partner will be granted the right to litigate the claim with Jury, Court, and no Claims will be brought as a Class Action.
7. Licensure
Usage of Platform is based on the sole discretion of VerifyPass. VerifyPass may, at any time, terminate User's ability
to correctly access the platform, for any reason as determined solely by VerifyPass.
8. User Support
VerifyPass may, at its discretion, provide a public e-mail address or third party platform, for purposes of assistance with the Verification Platform
or other website components. VerifyPass is under no legal obligation to provide support, reply by e-mail or phone to any
User. VerifyPass requests Users do not transmit Data by e-mail, or any medium except the Verification Platform.
VerifyPass assumes no liability for the security of Data transmitted by e-mail or its third party support platform.
9. Your Consent
By using the Platform, you as the User or Partner, consent to the terms of this Agreement.
